Terms & Conditions
1. Introduction
Welcome to OnlineSPSS.
“OnlineSPSS” is our customer-facing trading name. The registered legal entity responsible for providing services is identified in Section 21 and in the accepted project proposal.
These Terms & Conditions (“Terms”) govern access to our website and the professional statistical consultancy, research analysis, and related services provided by OnlineSPSS (“we,” “us,” or “our”).
We provide specialist analytical services to academic researchers, healthcare professionals, research institutions, businesses, and other organizations worldwide.
Our approach is based on methodological accuracy, professional accountability, confidentiality, and transparent communication.
By accepting a project proposal through our online checkout process or by written confirmation, you (“Client” or “you”) agree to these Terms, together with the conditions specified in your accepted proposal.
Please review these Terms before engaging our services. Questions may be directed to info@onlinespss.com.
2. Scope of Services
OnlineSPSS provides professional statistical consultancy and research support services, including:
- Research planning, study design, and sample size determination.
- Quantitative statistical analysis and modeling.
- Qualitative and mixed-methods research analysis.
- Statistical interpretation, visualization, and results reporting.
- Meta-analysis and evidence synthesis.
- Independent statistical review and methodological consultation.
- Other related research services expressly agreed in a project proposal.
Our services are primarily delivered by our internal team. Where appropriate, we may work with experienced, established independent specialists with relevant methodological expertise.
OnlineSPSS remains responsible for coordinating and managing the agreed services, including work undertaken by specialists acting on our behalf.
The specific services, methodology, outputs, and deliverables are defined in each accepted project proposal.
3. Project Assessment and Agreement
3.1 Initial assessment
Clients may request an assessment by submitting a research enquiry through our website or contacting us directly.
The initial assessment and quotation are provided without obligation.
We may request a research proposal, study protocol, dataset, codebook, questionnaire, analysis plan, or other information necessary to understand the project.
3.2 Project proposal
Following assessment, we provide an individual quotation or Scope of Work (“SOW”), which may specify:
- The research objectives and agreed services.
- Statistical methods or analytical requirements, where known.
- Expected deliverables and reporting standards.
- Project fees, currency, and payment schedule.
- Required client materials.
- Project commencement conditions and delivery timeline.
- Any specific revision arrangements or additional conditions.
No work outside the agreed scope will be charged without the Client’s prior approval.
3.3 Acceptance
Clients may accept a proposal through:
- Our designated online acceptance and checkout process; or
- Explicit written confirmation, including email, where accepted by OnlineSPSS.
A binding service agreement is formed when the Client accepts the proposal and OnlineSPSS confirms the engagement, subject to any stated conditions. Online acceptance requires an affirmative confirmation of the applicable Terms and proposal before payment. Written email acceptance must explicitly confirm the accepted proposal and Terms; the confirmation is retained with the project record.
For UK/EU consumer transactions where statutory withdrawal rights apply, the required pre-contract information, cancellation instructions and model form must be supplied before acceptance. A separate express request is obtained if the consumer asks us to start services during an applicable withdrawal period, together with any required acknowledgment about the consequences of full performance.
Payment alone does not expand the agreed scope.
3.4 Order of precedence
Where documents conflict, any mandatory applicable law takes precedence. A separately executed Data Processing Agreement or Non-Disclosure Agreement governs the matters specifically addressed by that agreement. Expressly agreed project-specific terms then take precedence over these general Terms for the relevant engagement.
4. Fees, Payments, and Billing
OnlineSPSS provides personalized fixed-price quotations based on project complexity, research requirements, and expected professional resources.
Unless otherwise agreed, full payment is required before work begins.
For larger or longer-term projects, deposits or milestone-based payments may be arranged. The amounts and payment dates will be specified in the accepted proposal.
Payments may be processed through our available payment partners or another agreed payment method.
The Client is responsible for any applicable taxes, foreign-exchange conversion charges, or bank fees clearly identified as their responsibility in the proposal or applicable checkout information.
OnlineSPSS will not introduce additional charges for work within the agreed scope without prior approval.
If an agreed payment becomes overdue, OnlineSPSS may suspend the affected work after notifying the Client and providing a reasonable opportunity to resolve the issue.
Payment arrangements do not alter applicable statutory cancellation, refund, or consumer protection rights.
5. Project Commencement and Delivery Timelines
5.1 When the delivery timeline begins
A project delivery timeline begins only when all applicable commencement requirements have been satisfied:
- The agreed advance payment or deposit has been received.
- All essential datasets, documents, instructions, and research materials required to begin the project have been provided in a usable form.
- Any outstanding material questions necessary to establish the agreed work have been resolved.
- The agreed commencement date has arrived, where one has been specified.
OnlineSPSS will confirm the effective project commencement date or agreed delivery schedule through the relevant project communication.
5.2 Incomplete or delayed client materials
Where essential information is missing, incomplete, inaccessible, or inconsistent, OnlineSPSS may request clarification or corrected materials.
We will explain any material impact on the project schedule.
Where a project has already started and subsequent analysis identifies a need for additional essential information, the affected work may be paused while the issue is resolved. The parties will discuss any necessary timeline adjustment.
5.3 Delivery commitments
OnlineSPSS will make reasonable professional efforts to deliver the agreed work within the confirmed timeframe.
Any material anticipated delay will be communicated to the Client as soon as reasonably practicable.
If OnlineSPSS is responsible for materially missing an agreed delivery deadline, the Client may choose to consider a reasonable revised deadline or request an appropriate refund, taking into account the impact of the delay, services already performed, and applicable legal rights.
Where the delay makes the deliverables no longer reasonably useful for their expressly communicated and agreed purpose, a full refund may be appropriate.
OnlineSPSS is not responsible for delays directly attributable to incomplete client materials, delayed responses, or changes requested by the Client, provided those circumstances and their effects are reasonably communicated.
6. Professional Standards and Quality Assurance
OnlineSPSS aims to provide technically sound, appropriately documented, and research-ready statistical analysis.
Depending on the agreed scope, our deliverables may include:
- Statistical output files and analysis scripts.
- Interpreted analytical findings.
- Tables, figures, and visualizations.
- Assumption checks and relevant diagnostic procedures.
- Effect sizes, confidence intervals, and significance tests where appropriate.
- Structured results reports consistent with agreed reporting requirements.
We exercise professional judgment in the selection, application, and interpretation of statistical methods.
Where methodological changes become necessary, we will explain material changes to the Client.
We do not guarantee statistical significance, particular research conclusions, journal acceptance, dissertation approval, or other outcomes outside our control.
However, we remain accountable for completing the agreed services with reasonable care, skill, and methodological competence.
7. Client Responsibilities
The Client is responsible for providing accurate project requirements and research materials.
Clients must:
- Have the necessary authority and permissions to share their research materials.
- Provide accurate datasets and relevant methodological information.
- Communicate essential deadlines and institutional requirements before confirming the project.
- Identify any special security, regulatory, or contractual requirements before transferring restricted information.
- Respond to material requests for clarification within a reasonable period.
- Review the deliverables and raise concerns in sufficient detail to permit appropriate assessment.
Clients remain responsible for their underlying research design decisions, ethics approvals, data collection practices, and compliance with institutional or professional obligations, except for activities expressly entrusted to OnlineSPSS under the agreed scope.
OnlineSPSS may decline or suspend work where lawful access to data, required permissions, or professional research integrity cannot reasonably be established.
8. Revisions and Corrections
8.1 Standard revision period
Unless the accepted proposal specifies a different period, the Client may request revisions within 30 calendar days of delivery.
8.2 Included revisions
Revisions are provided without additional charge where they fall within the originally agreed project scope.
Examples include correcting reporting inconsistencies, addressing omissions from agreed deliverables, clarifying interpretations, and adjusting presentation to meet agreed requirements.
We do not impose a fixed numerical limit on reasonable, in-scope revision requests during the applicable revision period.
8.3 Additional services
Requests outside the agreed scope may require a separate quotation.
Such requests may include:
- Analysis of a materially changed or replacement dataset.
- Additional research questions or hypotheses.
- New statistical methods or models not included in the agreement.
- Substantial changes to the research design.
- New deliverables or additional analyses requested after the original scope was agreed.
We will explain any proposed additional charges before proceeding.
8.4 Verified errors
If a material error attributable to OnlineSPSS is identified, we will review the issue and offer appropriate corrective action.
The standard revision period does not extinguish applicable statutory rights or remedies for deficient services.
Further details are available in our Revision Policy.
9. Quality Concerns and Client Dissatisfaction
We recognize that statistical projects can involve complex research requirements and evolving academic expectations.
If the Client reasonably believes that the delivered work does not meet the agreed Scope of Work or contains a material analytical deficiency, they should contact OnlineSPSS with an explanation and relevant supporting information.
We will review the concerns in good faith, assess the original requirements and completed work, and provide a reasoned response.
Where a substantiated deficiency is identified, we will normally offer to correct it without additional charge. The Client may give us a reasonable opportunity to do so where appropriate, provided this can be accomplished within a reasonable timeframe and without defeating the agreed purpose of the project. No provision requires a consumer to accept a remedy that applicable law does not require.
If reasonable corrective efforts do not resolve a material deficiency, the Client may request an appropriate partial or full refund.
A full refund may be appropriate where the agreed service was not delivered, the work substantially fails to meet the agreed scope, or unresolved deficiencies render the deliverables unsuitable for their agreed purpose.
A partial refund may be appropriate where some services have been satisfactorily performed and retain independent value to the Client.
We may also consider discretionary goodwill refunds where genuine dissatisfaction remains after reasonable efforts to resolve a concern, even if a material contractual deficiency has not been conclusively established.
General dissatisfaction, a supervisor’s change of preference, or an unexpected research finding does not automatically establish a failure to perform the agreed service. Nevertheless, we will consider the relevant circumstances fairly.
Nothing in this section requires a Client to surrender a statutory remedy or accept repeated corrections where applicable law provides a different remedy.
10. Project Cancellation and Refunds
10.1 Cancellation before commencement
If a Client cancels before project work has begun, amounts paid will normally be refunded in full.
10.2 Cancellation after commencement
If a Client cancels after work has commenced for reasons unrelated to a failure by OnlineSPSS, any refund will generally reflect the reasonable value of services already performed.
The calculation may consider:
- The completed project stages or analytical work.
- The proportion of the agreed services already performed.
- The extent to which the completed work corresponds to the original Scope of Work.
- Any reasonable, specifically authorized, nonrecoverable project expenses.
OnlineSPSS will explain the basis of any retained amount. We do not automatically apply fixed cancellation percentages.
Where the Client is entitled to additional statutory protections, those rights take precedence.
10.3 Failure to deliver or material deficiencies
A full or partial refund may be granted where OnlineSPSS:
- Cannot provide the agreed services.
- Fails to deliver material elements of the agreed scope.
- Produces materially deficient work and cannot reasonably remedy the deficiency.
- Materially misses an agreed deadline in circumstances justifying reimbursement.
- Receives a duplicate payment or an amount charged in error.
A full refund will normally be provided for a project that OnlineSPSS cannot undertake and for which no service has commenced.
10.4 Requesting a refund
Refund requests should be submitted in writing to info@onlinespss.com.
Where relevant, the Client should identify the project, explain the concern, and provide sufficient detail for an objective review.
OnlineSPSS will assess the request fairly, communicate its decision and reasoning, and where appropriate offer correction, partial reimbursement, or full reimbursement.
Approved refunds will be processed without unreasonable delay, generally through the original payment method where available.
10.5 International consumer rights
Clients may have mandatory cancellation or withdrawal rights under the laws applicable to their transactions.
Where UK or EU distance-contract withdrawal rights apply, eligible consumers generally have a 14-day period to withdraw from a service contract, subject to the relevant legal conditions and exceptions. We provide the required cancellation information and model cancellation form before the consumer becomes bound. If the consumer expressly requests early performance, any lawful payment for services supplied during that period and any loss of withdrawal rights after full performance will be governed by the applicable rules and the required acknowledgments. See the Refund & Cancellation Policy for the cancellation form and details.
Any mandatory rights under applicable US federal or state law, or the laws of another relevant jurisdiction, will also be respected.
This policy does not exclude or reduce those rights.
Additional information is provided in our Refund Policy.
11. Intellectual Property and Ownership of Deliverables
11.1 Client-provided research materials
The Client or applicable third-party rights holder retains all pre-existing intellectual property rights in materials supplied to OnlineSPSS.
Such materials may include research datasets, manuscripts, study protocols, questionnaires, documentation, and other original research content.
OnlineSPSS does not acquire ownership of those materials through the consultancy engagement.
The Client grants OnlineSPSS only the permissions reasonably necessary to perform the agreed services, subject to confidentiality and applicable data protection obligations.
11.2 OnlineSPSS-created work
All intellectual property rights owned by OnlineSPSS in project-specific reports, statistical analyses, output files, scripts, tables, figures, and other original work created for the engagement remain with OnlineSPSS until the agreed project fees have been paid in full.
Deposits, advance payments, and individual installments do not independently transfer ownership of the complete project deliverables unless a separate written arrangement expressly provides otherwise.
11.3 Ownership following full payment
Once all agreed project fees have been paid in full, OnlineSPSS will transfer to the Client the intellectual property rights it owns in the agreed final project-specific deliverables, excluding pre-existing materials and third-party content.
Where an applicable law requires a signed written assignment, OnlineSPSS will execute the necessary documentation without an additional assignment fee. These Terms do not purport to override statutory signature requirements. We will arrange for any contributing independent specialists to assign or license to us sufficient rights to transfer the agreed deliverables.
Following the effective transfer, the Client may use, reproduce, adapt, submit, publish, and otherwise exploit the deliverables for lawful academic, research, professional, or commercial purposes, subject to applicable third-party rights.
11.4 Unpaid and partially paid projects
Where payment remains incomplete, the relevant OnlineSPSS-created work remains the intellectual property of OnlineSPSS unless the parties expressly agree otherwise in writing.
Any draft or interim materials shared before transfer of ownership may be reviewed for project assessment and feedback but may not be independently published, distributed, or commercially exploited without authorization, except as permitted by applicable law.
11.5 Refunded projects
Where a project is fully refunded, the Client will not acquire intellectual property rights in the associated OnlineSPSS-created deliverables solely because those materials were previously provided.
Where intellectual property rights have already been transferred before a refund, the refund settlement will address the termination of applicable usage rights and any legally required reassignment of those rights.
The Client agrees to cooperate reasonably in documenting that arrangement, subject to applicable law.
For partial refunds, the parties may expressly agree which completed deliverables, if any, are transferred and which remain with OnlineSPSS.
11.6 Pre-existing and third-party materials
OnlineSPSS retains its rights in independently developed software, general-purpose scripts, templates, statistical workflows, and proprietary analytical resources.
Where such materials are incorporated into fully paid deliverables, OnlineSPSS grants the Client a perpetual, worldwide, nonexclusive, royalty-free license to use those incorporated materials as reasonably necessary to use the deliverables for their agreed purposes.
Third-party software and open-source components remain subject to their respective license conditions.
11.7 Confidentiality and ownership
Retention of intellectual property rights does not give OnlineSPSS permission to disclose, publish, sell, or otherwise exploit confidential client research materials.
The Client’s original research materials remain subject to the agreed confidentiality and data protection obligations regardless of payment, cancellation, or refund status.
12. Confidentiality and Non-Disclosure Agreements
OnlineSPSS treats client datasets, unpublished findings, manuscripts, research documentation, and project communications as confidential.
Confidential information will be used only for legitimate purposes connected with the agreed engagement, unless otherwise authorized or required by applicable law.
Access is limited to authorized personnel and project specialists with a legitimate need to access the information.
Our confidentiality obligations apply whether or not a separate Non-Disclosure Agreement (“NDA”) has been executed.
Where an individual Client requires an NDA, they may submit their proposed agreement for our review. OnlineSPSS will assess the provisions and confirm whether the agreement can be signed.
For long-term research relationships or institutional engagements, OnlineSPSS may also propose a separate NDA or confidentiality agreement.
All separate agreements are subject to review and mutual acceptance.
These obligations do not prevent disclosures required by law, provided any legally permitted advance notice and appropriate protective measures are considered.
13. Research Data, Privacy, and Security
Clients must remove unnecessary direct identifiers from research datasets before submission. A coded or pseudonymized dataset may still contain personal data and may require regulated handling.
For website enquiries, billing and our own business administration, OnlineSPSS generally acts as a data controller or an equivalent responsible business under applicable privacy law. When we analyze personal data solely on documented instructions from a university, healthcare institution or other organization, OnlineSPSS may act as its data processor.
Where UK/EU GDPR Article 28 applies to a processor engagement, a binding Data Processing Agreement (DPA) is required before processing begins. It must describe the subject matter, duration, purposes, categories of data and data subjects, documented instructions, confidentiality, security, assistance, breach communications, subprocessors, transfers, deletion/return and other required safeguards.
When we act as a processor, a further processor may be engaged for the relevant personal data only with the controller’s prior specific or general written authorization. We will provide notice of relevant changes and an opportunity to object where required, and will impose equivalent data protection obligations on the subprocessor. A separate NDA by itself does not replace these requirements.
Projects involving US protected health information require a project-specific assessment of whether a HIPAA Business Associate Agreement or other arrangements are necessary. We may defer receipt of regulated data pending completion of required agreements and safeguards.
Clients may request an alternative suitable transfer method. Our detailed data practices, the 90-day standard research-file retention period and individual privacy rights are described in our Privacy Policy and Confidentiality & Data Security page.
14. Statistical Software and AI-Enabled Features
OnlineSPSS uses established statistical and research software according to each project’s methodological requirements.
Some applications incorporate automation, machine-learning capabilities, or AI-enabled features.
These tools may be used where appropriate, provided their use is compatible with the agreed scope, professional standards, and relevant confidentiality and data protection requirements.
Our statistical conclusions and final analytical deliverables remain subject to human professional review and validation.
OnlineSPSS does not substitute unverified AI-generated content for professional statistical analysis.
Where a proposed software feature involves external processing of confidential or regulated research data, its use will be assessed individually and any necessary permissions, safeguards, or contractual arrangements must be established.
15. Research Integrity and Appropriate Use
OnlineSPSS provides legitimate statistical and methodological support.
We support accurate analytical methods, transparent reporting, appropriate documentation, and responsible interpretation of findings.
Clients remain responsible for complying with the rules of their institutions, publishers, professional bodies, and applicable research regulations, including any requirements to acknowledge external statistical assistance.
OnlineSPSS does not knowingly participate in the fabrication or falsification of research results, intentional manipulation of findings, or deliberate misrepresentation of research contributions.
Where professional ethics or applicable law require acknowledgement of analytical assistance, the Client remains responsible for ensuring appropriate disclosure.
16. Professional Responsibility and Limitations
OnlineSPSS will perform the agreed services with reasonable professional care and skill.
Results necessarily depend on the available data, research design, assumptions, and limitations of the statistical methods used.
We are responsible for services expressly included in the agreed scope, but do not guarantee outcomes influenced by external factors, including journal editorial decisions, institutional assessments, or research findings.
Unless separately and expressly agreed, OnlineSPSS does not provide clinical diagnosis, medical treatment recommendations, legal advice, or regulatory certification.
Each party is expected to take reasonable steps to mitigate avoidable losses arising from a contractual dispute.
Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or any liability, remedy, or consumer protection that cannot lawfully be excluded.
Any additional allocation or limitation of liability for a substantial institutional or business engagement must be fair, clearly disclosed, and consistent with applicable law.
17. Complaints and Dispute Resolution
We encourage Clients to raise concerns promptly and directly.
Complaints may be submitted to info@onlinespss.com and should include the project reference, relevant facts, and the requested resolution.
OnlineSPSS will review concerns in good faith, examine the agreed scope and available records, and provide a reasoned response.
Where appropriate, the parties may agree on correction, revised delivery, partial reimbursement, full reimbursement, or another fair resolution.
If a disagreement cannot be resolved directly, either party may pursue the legal remedies available to them.
Nothing in these Terms requires a Client to waive mandatory consumer protections, statutory remedies, or access to a legally competent court.
18. Applicable Law and International Clients
OnlineSPSS provides services to Clients in the United States, the United Kingdom, the European Union, and other jurisdictions.
Project-specific agreements may identify a governing law and dispute forum, subject to the applicable rules governing enforceability and mandatory consumer protections.
Where no valid governing-law agreement has been made, the applicable law and jurisdiction will be determined according to the relevant legal rules.
Nothing in these Terms is intended to deprive a consumer of protections that cannot lawfully be excluded under the laws applicable to their transaction.
Business clients may agree to additional dispute-resolution provisions in a separate written engagement agreement.
19. Website Use and Intellectual Property
The design, branding, text, and other original materials displayed on the OnlineSPSS website are protected by applicable intellectual property laws.
Visitors may use the website for lawful purposes connected with learning about or requesting our services.
Website content may not be copied or commercially republished without appropriate authorization, except as permitted by law.
Links to third-party websites or services may be provided for convenience. Their separate terms and privacy practices may apply.

20. Updates to These Terms
OnlineSPSS may update these Terms to reflect changes in services, business practices, or legal requirements.
The current version will be published on our website with its effective date.
Changes will not retrospectively modify an accepted project agreement unless the parties agree or applicable law requires otherwise.
For an existing engagement, the version applicable when the agreement was accepted will ordinarily continue to govern that engagement.
